The Del Lago Academy Foundation was founded in July of 2013, a month before the school opened in August of 2013. Over the years we have supported Athletics, Professional Development for Teachers, Teacher Grants, Grad Nite, X-blocks and Clubs. Many of these activities will not survive without the the support of the Foundation. We are actively seeking nominations for the Members at Large, Auditor and Parliamentarian positions. Board of Directors Position Descriptions
President
The President is the principal executive officer of the DLA Foundation in charge of carrying out the resolutions of the Board of Directors and shall: 1. Supervise, coordinate and carry out all of the affairs of the Foundation including contracts, publications, events, and meetings, except when delegated by the Board of Directors or by these Bylaws or by statute to some other officer or agent of the DLA Foundation. 2. Maintain records and perform all other duties as may be assigned by the Board of Directors. 3. Co-sign all checks of the DLA Foundation. 4. Not be related to or live in the same house as the other authorized signers for the Foundation accounts. 5. Authorize expenditures for Treasurer. 6. Be an ex officio member of all committees except the nominating committee and be invited to attend all meetings. The President shall receive minutes or reports from all committee meetings. 7. Give notice of Membership meetings two weeks in advance. 8. Post agenda of Membership meetings twenty-four hours in advance via email or posting on DLA Foundation website. 9. Preside at all meetings of the association and the Board of Directors. 10. Prepare and maintain the list of the DLA Foundation Board of Directors required for the directory and distribute to the DLA Foundation members. 11. Have all newsletters, flyers and/or notices approved by the Principal of Del Lago Academy prior to distribution. 12. Perform other duties as prescribed in these bylaws or assigned by the DLA Foundation.
The President must be prepared to commit 2-3 hours per week on DLAF activities.
Vice President
1. In the absence or disability of the President, the Vice-President shall assume the duties of the President. 2. If the President is unavailable, may co-sign all checks of the DLA Foundation. 3. Not be related to or live in the same house as the other authorized signers for the Foundation accounts. 4. When acting as President, the Vice-President shall have all the powers of and be subject to all restrictions on the President. 5. Perform other duties as prescribed in these bylaws or assigned by the DLA Foundation. The Vice-President must be prepared to commit 1-3 hours per week on DLAF activities.
Secretary
The Secretary shall be responsible for keeping the minutes of the Foundation meetings. The minutes will be submitted to the President for posting for approval and corrections within 10 days after the meeting. In addition the secretary will: 1. Ensure minutes of meetings shall include the time and place of the meeting. 2. Be prepared to refer to the minutes of previous meetings. 3. Prepare a list of unfinished business for the President‘s agenda. 4. Record all expenditures in the minutes. 5. Keep a current copy of the bylaws and standing rules. 6. Receive ballots and record the result of a vote for an election or bylaws change. 7. Perform all duties of the Office of Secretary, and others, that from time to time may be assigned by the Board of Directors. The Secretary must be prepared to commit 2-3 hours per month on DLAF activities.
Treasurer
The treasurer will handle all financial matters of the DLA Foundation and will: 1. Prepare and file all necessary Federal and State documents required by 501(c)(3) non-profit laws. 2. Keep permanent books of account and records to establish the items of gross income, receipts and disbursements of the DLA Foundation. All other financial records must be retained for seven years including the current year. 3. Contact the bank to secure signatures of all authorized signers on all checking and savings account signature cards and file with the bank immediately upon taking office. 4. Secure two signatures on all checks. Authorized signatures shall be the President, Vice President and the Treasurer. The authorized signers shall not be related by blood or marriage or reside in the same household. 5. Retain a copy of the deposit slip for all deposits. 6. Pay bills as authorized by the Board of Directors after receiving signed authorization by the Secretary and the President. 7. Chair the budget Committee. 8. Facilitate an audit of the books at any time or once a year once a balance of $20,000 is met. 9. Perform other duties that may be assigned by the Board of Directors. 10. Be custodian of the DLA Foundation financial records. 11. Maintain a petty cash fund with a balance of $300.00 to be kept locked in the school office. Petty cash is to be used for small emergencies only which fall within Board of Director approved expenditures. 12. Ensure that two individuals count all cash/checks and shall not be related by blood, marriage or reside in the same household. 13. Keep an accurate detailed financial record of all individual fundraising attempts authorized by the Board of Directors. 14. Keep the membership informed of expenditures as they relate to the DLA Foundation budget at the monthly membership meeting. 15. Present a Treasurer’s report at every Foundation meeting or when requested by the Board of Directors. The monthly Treasurer’s report must be submitted to the President 10 days after the receipt of the monthly bank statements. 16. Accept any monetary contribution or gift for the purposes of the Foundation. Register the addresses, email and phone numbers of donors with the Secretary of the DLA Foundation. 17. No funds shall be released for any expenditure, including petty cash, unless approved by the Board of Directors.
The Treasurer must be prepared to commit 2-3 hours per week on DLAF activities.
Parliamentarian
The Parliamentarian shall be responsible for: 1. Maintaining all bylaws and standing rules, and amendments. 2. Advise the President and the Board of Directors of correct Parliamentary Procedure. 3. Attend all meetings of the DLA Foundation and give necessary advice on parliamentary procedure when requested. 4. Advise the nominating committee, conduct the election of a chairperson and give instructions in procedure, may be contacted for additional information, and attend meetings of the nominating committee. 5. Chair the bylaws committee and review the bylaws annually.
The Parliamentarian must be prepared to commit 1-2 hours per month on DLAF activities.
Members at Large
Members at large may be assigned to serve on committees or undertake special projects. Committee examples include dining nights, Facebook, Grad Nite, and teacher appreciation days. Members of the Board of Directors shall have the following qualifications: 1. Reside in San Diego County. 2. Not be a member of the Board of Education for the Escondido High School District. 3. Not be a permanent employee of Del Lago Academy except as Ex Officio member of the Foundation. 4. Be approved as a Escondido Union High School District Volunteer. Members at Large must be prepared to commit 1-2 hours per month on DLAF activities.
